These Terms, together with our Privacy Policy, Disclaimer, and Terms of Purchase (collectively, the “Legal Policies”), govern your access to and use of:

To access or use the Website or Membership, you must be 18 years of age or older and have the legal capacity to enter into a binding contract. Use by anyone under 18 is prohibited.

You agree to use the Website and Membership for lawful purposes only. You agree not to post, transmit, upload, or otherwise distribute any content or material that is unlawful, threatening, abusive, defamatory, obscene, invasive of privacy, infringing, misleading, or otherwise objectionable, or that encourages conduct that would constitute a criminal offense or give rise to civil liability.

You also agree not to: interfere with or disrupt the Website, Membership, servers, or networks; attempt unauthorized access to any portion of the Website or Membership; introduce viruses, malware, or other harmful code; scrape, harvest, or collect data or personal information without permission; use the Website or Membership in a way that damages or impairs the experience of others.

Purchases and Financial Responsibility

You agree to be financially responsible for all purchases made by you or someone acting on your behalf through the Website or Membership.

If you purchase through third-party platforms (including but not limited to Etsy or Spoonflower), your purchase may also be subject to that platform’s terms, policies, and refund processes.

Access, Accounts, and Security

We reserve the right to withdraw, amend, restrict, or discontinue any part of the Website or Membership at any time, in our sole discretion, without notice. If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to notify us immediately of unauthorized access or suspected security breaches.

We have the right to disable or suspend any username, password, or access credentials at any time, in our sole discretion, including for violation of these Terms.

Intellectual Property

The Website and Membership contain intellectual property owned by or licensed to us, including but not limited to text, graphics, photographs, videos, designs, templates, downloads, patterns, branding assets, educational materials, and other content (collectively, “Company Content”). All Company Content is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted are reserved.

You may not copy, reproduce, republish, upload, post, transmit, distribute, sell, license, create derivative works from, reverse engineer, or otherwise exploit any Company Content, in whole or in part, without our prior written consent, except as expressly permitted in Section 7 below.

License and Permitted Use (Free + Paid + Membership)

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use Company Content you obtain through the Website or Membership strictly for your personal use or internal business use (as applicable).

This license applies to:

A) Free Downloads / Email Opt-ins (“Gated Content”)

If we provide free resources in exchange for an email address (“Gated Content”), you may use them only for your personal or internal business use.

​

You may not: sell, share, redistribute, or transfer the Gated Content; upload it to shared drives, forums, or public/private groups; claim it as your own; create derivative works or competing products based on it.

​

B) Paid Digital Products (Downloads, Templates, Design Assets)

If you purchase paid digital products from us, you may use them only for your personal use or internal business use unless the product listing explicitly grants broader rights (such as commercial use).

You may not: resell, redistribute, or share the files; create “done-for-you” templates/products for resale using our files unless explicitly permitted; remove copyright notices, trademarks, or branding where applicable.

C) Membership Content (Designed Simply Membership)

Membership content is licensed for your individual use only. You may not share logins, repost lesson content, distribute downloads, or provide Membership materials to non-members. Violation of this section may result in immediate termination of access without refund, and may also result in legal action.

Community Guidelines and Communication Features

The Website or Membership may include community features such as comments, discussions, direct messages, and other communication spaces (collectively, “Community Features”).

By using Community Features, you agree: to be respectful and to communicate appropriately; not to post unlawful, hateful, harassing, abusive, defamatory, infringing, or obscene content; not to share private information about others without consent; not to spam, self-promote excessively, or solicit members in a way that disrupts the community; not to upload files containing malicious code.

​

We reserve the right (but have no obligation) to monitor, review, remove, or restrict any content or account activity within Community Features at any time in our sole discretion.

User Submissions (Comments, Feedback, Testimonials)

If you post, upload, submit, or otherwise provide any content, such as feedback, questions, testimonials, images, or community posts (“Submissions”), you represent that you have the right to share that content. You grant us a worldwide, non-exclusive, royalty-free license to use your Submissions for business purposes, including improving our Website/Membership and for marketing or promotional purposes.

Privacy note: If we want to use a Submission in a way that identifies you (name, handle, photo, or other identifying details), we will make reasonable efforts to obtain your permission first. We may still use anonymized or de-identified feedback without permission. We claim no ownership over your original Submissions, but you grant us the limited license above.

Third-Party Links and Service Providers

The Website or Membership may contain links to third-party websites, tools, or resources. We do not control and are not responsible for their content, availability, or policies. Accessing third-party resources is at your own risk.

We may use third-party providers to help operate our business and deliver services (for example: payment processors, email marketing platforms, community platforms, analytics, and affiliate tracking). By using the Website or Membership, you acknowledge and agree that we may share information with service providers as reasonably necessary to provide requested products, services, or functionality, consistent with our Privacy Policy.

Electronic Communications

Visiting the Website or Membership, submitting a form, or sending emails to the Company constitutes electronic communications. You consent to receive communications from us electronically, including via email, and agree that all notices, disclosures, and communications we provide electronically satisfy any legal requirement that such communications be in writing. Communicating with us does not create a business relationship beyond what is explicitly described in these Terms.

Refunds, Returns, and Cancellations
A) Membership Refund Policy (Designed Simply Membership)

Due to the digital nature of the Membership and immediate access to content, we offer refunds only within the first 7 days of your initial enrollment. Refund eligibility applies only to your first enrollment. After 7 days, no refunds will be provided.

B) Membership Cancellation

You may cancel your Membership at any time. To avoid being charged for the next renewal period, you must cancel at least 3 days before your next renewal date. If you cancel fewer than 3 days before renewal, your next charge may still process.

C) No Prorated Refunds

We do not offer prorated refunds for unused time on monthly or annual plans.

D) Digital Products

Unless otherwise stated on the product page, all digital product purchases are final and non-refundable, due to the nature of instant access and downloadable files.

E) Print-on-Demand / Physical Products

If you purchase physical or print-on-demand items directly from us (if/when available), returns may be accepted within 14 days where eligible. Some items may not be eligible for return due to customization or fulfillment restrictions, and return eligibility may vary by product type.

If you purchase physical or POD items through third-party marketplaces (such as Etsy or Spoonflower), the platform’s return/refund system and the specific listing policy may apply.

Educational and Informational Purpose / No Guarantees

Information provided on the Website or Membership is for educational and informational purposes only and is not legal, financial, tax, medical, or professional advice. We do not guarantee outcomes, income, or results. Your results depend on many factors outside our control, including your effort, market conditions, and personal circumstances.

No Warranties

To the maximum extent permitted by law, the Website, Membership, and Company Content are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the fullest extent permitted by law, we are not liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or related to your use of the Website, Membership, Company Content, or any products/services purchased through them.

If liability is found, our total liability to you will not exceed the total amount you paid to us for the product, service, or Membership giving rise to the claim (or the maximum amount allowed by law, whichever is less).

Availability, Security, and Malicious Code

We do not guarantee uninterrupted access to the Website or Membership. Access may be restricted, delayed, or unavailable from time to time. While we take reasonable measures to maintain security, you acknowledge that no online transmission is completely secure. You assume the risk of unauthorized access, interruption, or data loss.

We are not responsible for any damage caused by malicious code that may affect your device or data as a result of using the Website, Membership, or third-party links.

Termination of Access

We may terminate or suspend your access to the Website, Membership, or any related services at any time, in our sole discretion, including but not limited to violations of these Terms. If your access is terminated due to a violation of these Terms, you will not be entitled to a refund and you must immediately stop using any Company Content.

International Users

The Website and Membership are controlled and operated from the United States. If you access the Website or Membership from outside the U.S., you are responsible for compliance with local laws and regulations.

Indemnification

You agree to indemnify and hold harmless the Company and its officers, directors, employees, contractors, and agents from any losses, damages, liabilities, claims, and expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms, your misuse of the Website/Membership, or your violation of any law or third-party rights.

Changes to These Terms

We may update these Terms at any time. The “Last Updated” date at the top reflects the most recent revision. Continued use of the Website or Membership after changes are posted constitutes your acceptance of the updated Terms.

Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles.

Dispute Resolution (Mediation + Arbitration)

The parties agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms through good-faith negotiation and mediation before initiating arbitration or litigation. If a dispute is not resolved through mediation, any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or the Membership shall be resolved by binding arbitration in Larimer County, Colorado, unless otherwise agreed by the parties. No class actions / no class arbitration. You agree that disputes will be conducted only on an individual basis.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms & Conditions and the Legal Policies constitute the entire agreement between you and the Company regarding the Website and Membership and supersede all prior agreements and understandings.
